These Terms of Service govern the use of Microchips websites, software systems, clinic management solutions, communication tools, support services, and integrations, including the WhatsApp Business Platform integration used with PMS and related modules.
By accessing our website, using our software, enabling an integration, or receiving our services, you agree to these Terms of Service. If you are using the services on behalf of a business, clinic, company, or organization, you confirm that you are authorized to accept these terms on its behalf.

Clients must use our services only for lawful business purposes and in accordance with these Terms of Service, applicable laws, contractual agreements, and third-party platform requirements.
Clients are responsible for ensuring that only authorized users access the system and that usernames, passwords, access tokens, and administrative permissions are protected from misuse or unauthorized disclosure.

If a client enables the WhatsApp Business Platform integration, Microchips may connect the client’s WhatsApp Business Account, Meta Business Account, WhatsApp phone number, message templates, webhook events, and related messaging functions with the client’s PMS or communication module.
The client is responsible for ensuring that WhatsApp messages are sent only to recipients where the client has a lawful basis or valid consent to communicate. This includes appointment reminders, service notifications, marketing messages, campaigns, and any other WhatsApp communications sent through the system.
Clients are fully responsible for the content, accuracy, timing, and purpose of messages sent through our systems or integrations.
Clients must comply with Meta and WhatsApp Business Platform rules, approved template requirements, opt-in requirements, messaging limits, prohibited content rules, and any other applicable platform policies.

Some integrations may require access tokens, API credentials, webhook configuration, business identifiers, phone number identifiers, or other technical credentials.
Clients must not share credentials with unauthorized parties. Microchips may store or process integration credentials only as needed to operate, maintain, secure, and support the enabled services.
We aim to provide reliable services, but we do not guarantee that the website, software, integrations, APIs, hosting services, or third-party platforms will always be available, uninterrupted, error-free, or compatible with every environment.
Some service interruptions may occur due to maintenance, hosting issues, internet outages, third-party platform issues, API changes, Meta or WhatsApp service limitations, security updates, or circumstances outside our control.
Our services may depend on third-party providers, including hosting providers, database providers, email providers, Meta, WhatsApp Business Platform, payment providers, mapping providers, and other external services.
Microchips is not responsible for failures, suspensions, policy changes, API changes, pricing changes, approval delays, outages, or restrictions caused by third-party services.
Fees, subscriptions, setup charges, customization charges, support charges, hosting charges, or integration charges may be agreed separately with the client.
Unless otherwise agreed in writing, clients are responsible for paying applicable fees on time and for any third-party charges related to hosting, messaging, Meta or WhatsApp usage, infrastructure, or related services.
Microchips retains ownership of its software, source code, designs, templates, interfaces, documentation, workflows, branding, and related intellectual property unless a separate written agreement states otherwise.
Clients may use the software and services only according to the agreed license, subscription, or service arrangement.
To the maximum extent permitted by law, Microchips is not liable for indirect, incidental, special, consequential, or punitive damages, including loss of profits, loss of data, business interruption, reputational damage, or third-party claims arising from use of the services.
Clients are responsible for verifying their data, system outputs, messages, reports, configurations, backups, and business processes before relying on them for operational, financial, legal, or regulatory decisions.
We may suspend or restrict access to services if we reasonably believe there is misuse, security risk, non-payment, unauthorized access, violation of these Terms, violation of third-party platform rules, or legal/regulatory risk.
Termination of services may be handled according to the applicable agreement between Microchips and the client.
We may update these Terms of Service from time to time. Any changes will be posted on this page with an updated revision date. Continued use of our services after changes are posted means the updated terms apply.
These Terms of Service are governed by the applicable laws of the Kingdom of Saudi Arabia, unless a separate written agreement states otherwise.
